Corporate Tax - SBD and Private Corporate Groups (Live Webinar - Multi Segment)
Overview
Participants will examine how the small business deduction (SBD) operates within private corporate groups, including the effects of related/associated/affiliated relationships, specified partnership income (SPI), specified corporate income (SCI), and business-limit grind mechanisms. Participants will apply a structured framework to diagnose SBD eligibility and optimize group structures, dividends, and inter-company arrangements.
Note: This seminar does not include a review of Section 55, Safe Income or GST/HST as additional courses on these topics are available.

- Relationships in corporate groups: related, associated, and affiliated rules; look-through concepts; options/rights; control by value; deemed association.
- SBD business-limit reductions: taxable capital grind, AAII interaction, anti-avoidance touchpoints, and worked mini-cases.
- Partnerships in a group: SPI rules (legacy and current), designated members, specified partnership business limit, timing issues, and anti-avoidance.
- SCI framework: definition, 90% exception, assignments, association exception, timing, and application to incorporated partnerships.
- Part IV tax in groups: connected-corporation concepts and trust interactions (corporate beneficiaries, subsection 75(2), and related considerations).
- Other common issues: domestic transfer pricing within groups, GST/HST closely related elections, and loss-utilization/stop-loss highlights.

Jennifer Reid, CPA, CGA, TEP is a Partner in People Advisory Services Tax at EY in Calgary. Jennifer specializes in assisting private clients with international tax and estate planning issues such as immigration and emigration, dual citizenship considerations, foreign inheritance and foreign investment and asset ownership. Jennifer also assists in designing meaningful executive compensation plans where cross border considerations are front of mind. Jennifer has practiced tax services in Calgary for over 16 years, with a focus on private companies and their owners, as well as trusts and estates. She has experience assisting clients in planning their estate, including considerations such as insurance, trust and probate planning, cross-border planning as well as in transitioning businesses to the next generation or new owners in a tax-efficient manner. Jennifer’s previous experience in Big Four and boutique tax groups, as well as unique experience gained in leading a wealth planning group at a financial institution, allows her to take a holistic approach to tax planning for entrepreneurial and high net worth clients.
