Learning Objectives

By the end of this course, participants should be able to: 

  • Identify the conditions to make a valid Section 85 election and determine eligible property. 
  • Set the agreed amount within upper and lower limits and compute resulting tax attributes. 
  • Determine the cost and legal characteristics of consideration (including paid-up capital) received on rollover. 
  • Recognize relevant anti-avoidance rules and manage filing requirements, deadlines, and penalties for elections.

  • Purpose and general application of Section 85; comparison with Section 85.1. 
  • Conditions of application: transferor, transferee, eligible property, and types of consideration. 
  • Agreed-amount mechanics: upper and lower limits, specific exceptions, and planning implications. 
  • Cost of consideration and other rules: ACB allocation, shifting ACB, selected subsections affecting results. 
  • Anti-avoidance landscape: paid-up capital adjustments, section 84.1, affiliated-person and loss-restriction considerations, and other targeted rules. 
  • Election logistics: requirements, deadlines, late/amended filings, and penalty framework. 
  • Case-based application and provincial agreed-amount considerations.
