Course Description

Participants will gain an understanding of key tax concepts, filing requirements, and structuring considerations that arise when Canadian companies carry on business in the United States through subsidiaries, branches, partnerships, or other arrangements. The session will highlight common traps, planning opportunities, and areas where Canadian and US tax rules differ.

Participants will better identify tax exposures, recognize when specialist advice is required, and engage in more informed discussions with stakeholders regarding cross-border expansion.

Content

  • Understand the basic framework of the US corporate income tax system and when Canadian businesses become subject to US federal income taxation.
  • Identify common US tax filing obligations and compliance requirements for Canadian companies with US activities.
  • Recognize the advantages and disadvantages of operating in the US through a subsidiary, branch, partnership, or other legal structure.
  • Learn how key concepts such as nexus, effectively connected income (ECI), permanent establishment, and treaty provisions can impact a Canadian company's US tax obligations.
