Participants will learn how to design and execute financing strategies across the capital structure—matching instruments to needs, evaluating terms and covenants, and preparing organizations to engage effectively with capital providers. Participants will analyze practical scenarios that span operating lines, term loans, asset-based lending, junior capital, private equity, public markets, venture capital, government programs, and the financing process from preparation to closing.

  • Differentiate asset-based lending from cash-flow lending, outline when each is suitable, and evaluate reporting and covenant frameworks. 
  • Apply a leveraged-buyout style lens to junior capital to infer return expectations for mezzanine and private-equity investors. 
  • Contrast public-market and private-capital options by stage and objective, and assess costs, timelines, and readiness requirements. 
  • Prepare for financing: align corporate/shareholder objectives, assemble documentation, model cash flows and cost of capital, and negotiate effectively.

  • Asset-based lending and real-estate finance: eligibility, due diligence, reporting, covenants, and use cases. 
  • Junior capital: mezzanine and subordinated debt, evaluation criteria, and an MBO example. 
  • Private equity: investor landscape, processes, and real-world illustrations. 
  • Public markets: IPO forms, timing, preparation, and ongoing obligations. 
  • Venture capital & government financing: models, challenges, processes, and crowdfunding touchpoints. 
  • Cost of capital and investment decisions: linking financing choices to capital budgeting.
