Overview
Participants will learn a practical, end-to-end approach to M&A due diligence—from scoping and planning through financial and non-financial reviews, purchase-price mechanics, and integration considerations. Participants will apply checklists, case work, and review techniques to assess quality of earnings, working-capital and net-debt adjustments, contract risks, and operational fit, culminating in clear recommendations for proceed/no-proceed and pricing.

- Plan and scope a due-diligence engagement, define objectives, build the team, and map timelines and data-room workflows.
- Evaluate financial information, including quality of earnings, normalized EBITDA, working-capital targets, and net-debt calculations.
- Assess key non-financial areas—tax, legal, human capital, IT, and operations—and synthesize cross-functional findings.
- Translate findings into transaction mechanics, including purchase-price adjustments, selected SPA clauses, and integration priorities.
- Summarize lessons learned, tips, and traps to improve diligence effectiveness for both buyers and vendors.

- Planning the transaction: strategic rationale, scope, timeline, team, data-room and meeting logistics.
- Financial review: valuation touchpoints; data integrity; revenue, margins, and operating expense analysis; quality of earnings; forecasts; working-capital and net-debt analyses.
- Other diligence streams: tax, human capital, IT, legal, and operations; cross-stream risk mapping.
- Closing mechanics: payment structure, working-capital pricing mechanisms, key SPA provisions (e.g., reps, warranties, indemnities), and integration matters.
- Common findings, pitfalls, and “what good looks like” checklists.
